1. Agreement to Terms
These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and Fabrikant USA (“we,” “us,” or “our”), concerning your access to and use of the www.fabrikantusa.com website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the “Site”).
You agree that by accessing the Site, you have read, understood, and agree to be bound by all of these Terms and Conditions. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS AND CONDITIONS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND YOU MUST DISCONTINUE USE IMMEDIATELY.
2. Intellectual Property Rights
Unless otherwise indicated, the Site is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws.
Your intellectual property, including any CAD files, designs, drawings, or specifications you upload to the Site, remains your sole property. We claim no ownership rights over your designs. By submitting your designs to us, you grant us a limited, non-exclusive license solely for the purpose of providing you with a quote and/or manufacturing your parts.
3. User Representations
By using the Site, you represent and warrant that:
- All registration information you submit will be true, accurate, current, and complete.
- You have the legal capacity and you agree to comply with these Terms and Conditions.
- You will not use the Site for any illegal or unauthorized purpose.
- Your use of the Site will not violate any applicable law or regulation.
4. Quotes and Orders
- Request for Quote (RFQ): To receive a quote for our services, you must provide accurate and complete information, including any and all technical drawings and specifications. Quotes are based on the information provided at the time of the RFQ. Prices are subject to change if the design or requirements are modified after the quote has been issued.
- Payment: All orders must be paid for in accordance with the terms specified in your quote or invoice. We may require a deposit before commencing work. Production will not begin until the required payment has been received.
- Lead Times: All lead times are estimates and are not guaranteed. We will make every reasonable effort to meet the estimated delivery date, but we are not liable for any delays.
5. Manufacturing and Quality
- Tolerances: We will manufacture parts to the tolerances specified in your drawings. If no tolerances are specified, we will manufacture to our standard tolerances. It is your responsibility to specify all critical dimensions and tolerances.
- Inspection: We inspect all parts to ensure they meet the specifications of your order. However, you are responsible for conducting your own inspection upon receipt of the parts. Any claims for non-conforming parts must be made in writing within 10 business days of receipt.
- Liability: Our liability for any non-conforming parts is limited to the replacement or rework of the parts, or a credit to your account, at our sole discretion. We are not liable for any indirect, incidental, or consequential damages.
6. Prohibited Activities
You may not access or use the Site for any purpose other than that for which we make the Site available. The Site may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.
As a user of the Site, you agree not to:
- Systematically retrieve data or other content from the Site to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
- Attempt to impersonate another user or person or use the username of another user.
- Interfere with, disrupt, or create an undue burden on the Site or the networks or services connected to the Site.
7. Term and Termination
These Terms and Conditions shall remain in full force and effect while you use the Site. WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS AND CONDITIONS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SITE (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON OR FOR NO REASON.
8. Governing Law
These Terms and Conditions and your use of the Site are governed by and construed in accordance with the laws of the State of New Jersey applicable to agreements made and to be entirely performed within the State of New Jersey, without regard to its conflict of law principles.
